Contract Terms

Website Hosting and Maintenance Agreement

This Website Hosting and Maintenance Agreement ("Agreement") is made and entered into as of [DATE] by and between [CLIENT NAME], a [CLIENT ENTITY TYPE] ("Client"), and [PROVIDER NAME], a [PROVIDER ENTITY TYPE] ("Provider").

1. Services:

1.1 Provider agrees to provide the following website hosting and maintenance services to Client (the "Services"):

2. Fees and Payment:

3. Term and Termination:

6. Limitation of Liability:

6.1 IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Governing Law:

7.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland.

8. Entire Agreement:

8.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

9. Notices:

9.1 All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, sent by certified or registered mail, return receipt requested, or sent by overnight courier, postage prepaid, addressed as follows:

10. Severability:

12. Counterparts:

12.1 This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
